• Server Rentals: Virtual Private Servers (VPS), Dedicated Servers, Colocation Services.
• Domain Name Registrations: Facilitating the registration of domain names.
• Managed Services: Server management, security monitoring, backup solutions.
• Technical Support: Assistance with service-related issues.

Acceptable Use Policy (AUP)

You agree to use the Website and Services only for lawful purposes and in accordance with these Terms. You agree that you will not engage in any of the following prohibited activities:

• Any activity that violates any applicable local, state, national, or international law or regulation.
• Hosting or distributing illegal, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically, or otherwise objectionable content.
• Distributing unsolicited commercial email (spam) or engaging in any phishing or email fraud.
• Engaging in any activity that could damage, disable, overburden, or impair any Uni-Datacenter server, or the network(s) connected to any Uni-Datacenter server.
• Attempting to gain unauthorized access to any accounts, computer systems, or networks connected to any Uni-Datacenter server or through hacking, password mining, or any other means.
• Interfering with or disrupting the integrity or performance of the Services or data contained therein.
• Using the Services for cryptocurrency mining without explicit written permission.
• Operating open proxies, torrent trackers, or similar services that consume excessive network resources.
• Any activity that infringes upon the intellectual property rights of others.

Uni-Datacenter reserves the right to investigate and take appropriate legal action against anyone who, in Uni-Datacenter's sole discretion, violates this provision, including without limitation, removing the offending communication from the Services and terminating the accounts of such violators.

Payment Terms and Billing

All prices for Services are listed on the Website and are subject to change without prior notice. All payments are to be made in Indian Rupees (INR) unless otherwise specified.

Services are billed on a recurring basis (e.g., monthly, quarterly, annually) as selected by you during the purchase process.

• Auto-Renewal: Unless you cancel your service prior to the end of your current billing cycle, your service will automatically renew for an equivalent period, and your account will be charged accordingly.
• Overdue Accounts: Uni-Datacenter reserves the right to suspend or terminate services for overdue accounts. A late fee may be applied to overdue invoices.

All fees are exclusive of applicable taxes (e.g., GST), which will be added to the invoice where required by law.

Data and Content

You retain all rights, title, and interest in and to your Content and data stored on Uni-Datacenter's servers. You are solely responsible for the legality, reliability, integrity, accuracy, and quality of your Content.

While Uni-Datacenter may perform routine server backups for disaster recovery purposes, it is your sole responsibility to maintain independent backups of your Content and data. Uni-Datacenter is not liable for any loss or corruption of your Content or data.

Our collection, use, storage, and protection of your data are governed by our Privacy Policy, which is incorporated herein by reference.

Intellectual Property

The Website and its entire contents, features, and functionality are owned by BIOSYMPHONY PRIVATE LIMITED, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Website for your personal, non-commercial use only. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF BIOSYMPHONY PRIVATE LIMITED TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO UNI-DATACENTER FOR THE SERVICES IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless BIOSYMPHONY PRIVATE LIMITED, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website and Services, including, but not limited to, your Content, any use of the Website's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Website.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute or claim arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Kalyani, West Bengal.

Termination

Uni-Datacenter may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or follow the cancellation procedure outlined in our Cancellation and Refund Policy.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Miscellaneous Provisions

Entire Agreement: These Terms, together with the Privacy Policy and Cancellation/Refund Policy, constitute the entire agreement between you and Uni-Datacenter regarding the Services.
Waiver and Severability: No waiver by Uni-Datacenter of any term shall be deemed a further waiver. If any provision is held to be invalid, the remaining provisions will continue in full force and effect.
Force Majeure: Uni-Datacenter shall not be liable for any failure in performance due to causes beyond its reasonable control.
Changes to Terms: We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of any material changes. By continuing to use our Services after revisions become effective, you agree to be bound by the revised terms.
